Welcome to Allocate. By using our platform, website, and services (the "Platform"), you agree to these Terms of Service ("Terms"). If you do not agree, you must not use the Platform.
Allocate, a product of Title Inc., provides technology and services for coordinating asset allocation decisions among multiple stakeholders. Our Platform includes asset cataloging, voting round management, conflict resolution, settlement generation, and comprehensive reporting. We serve managers who coordinate allocations and participants who vote on asset preferences.
These Terms are governed by the laws of the Province of Québec, Canada, and the State of Delaware, U.S.A., without regard to conflict-of-law rules. You agree that disputes may be resolved exclusively in the courts of Montréal, Québec or Delaware, at our discretion.
We support two types of users:
Each user role has different permissions. Users may only act within their assigned role.
Fees are determined on an enterprise and case-by-case basis. All fees are confidential and may not be disclosed to third parties. Clients are responsible for paying all applicable charges under the payment terms provided to them.

We reserve the right to suspend or terminate accounts that violate these rules.
You own the data you upload to the Platform. By using the Platform, you grant us a license to store, process, and use your data for service delivery, improvement of services, and development of data models and automations. Title Inc. will retain data for seven (7) years after termination unless law requires earlier deletion. We may use aggregated, anonymized metadata for analysis, but we do not sell personal data.
Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms. The Privacy Policy explains how we collect, use, and protect your information.
We may suspend or terminate accounts at our discretion, including for misuse, breach of these Terms, or non-payment. If termination is for breach, no refunds will be given. If termination is for other reasons, we will refund prepaid subscription fees on a pro-rata basis.
Upon termination, you will lose access to the Platform. However, data related to cases you participated in may be retained by managers and other authorized users in accordance with our data retention policies.
The Platform, including all software, designs, and content, is owned by Title Inc. or our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Platform in accordance with these Terms.
You retain ownership of all content you upload to the Platform, including asset descriptions, images, and voting preferences. By uploading content, you grant us a license to store, process, and display that content as necessary to provide the Services.
The Platform is provided "as is" and "as available." We make no warranties about uninterrupted service, accuracy, or fitness for a particular purpose. Title Inc. is not liable for indirect, incidental, or consequential damages. Our total liability under these Terms is limited to the amount of fees you paid to Title Inc. in the twelve (12) months before the claim.
Allocate does not provide legal, financial, or tax advice. The Platform is a tool for coordinating preferences and documenting allocation decisions. Users are responsible for ensuring that their use of the Platform complies with applicable laws and regulations, including tax laws, estate laws, and business dissolution requirements.
While we strive to ensure the Platform functions correctly, we are not responsible for errors in calculations, voting tallies, or settlement recommendations. Managers are responsible for reviewing all information and making final decisions. Participants are responsible for verifying their votes and preferences before submitting.
We may update these Terms from time to time. Changes will be effective once posted on our website. Your continued use of the Platform means you accept the updated Terms. We will notify you of significant changes via email or a banner on the Platform.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
